1. Eligibility

By using our services or purchasing our software, you confirm that:

• You are at least 18 years old or of legal age in your jurisdiction.
• You are legally capable of entering into binding contracts.
• You will use the software and services only for lawful purposes in accordance with these Terms.

2. Products and Services

AlgoEclipse provides:

• Proprietary trading algorithms (also known as Expert Advisors or "EAs") for the MetaTrader 5 (MT5) platform.
• Copytrading services, available on a subscription basis, delivered through third-party services like Social Trader Tools.
• Educational content and documentation to support the use of our products.

3. License and Usage Rights

When you purchase an algorithm from AlgoEclipse:

• You are granted a non-transferable, non-exclusive, single-user license to use the software on your personal or business trading account.
• The license is linked to the account number(s) you provide and cannot be reassigned or resold.
• You may not:
  • Share, resell, license, sublicense, distribute, lease, rent, or transfer the software to any third party.
  • Reverse engineer, decompile, modify, or create derivative works of the software.
  • Upload the software to any third-party platform for redistribution, including but not limited to the MQL5 Market or EA reselling sites.
  • Use the software maliciously or in violation of applicable laws or broker policies.

4. Refund Policy

• Algorithm Purchases: Refunds are only available if no license activation has occurred. Once a license is issued and tied to an account number, the sale is final.
• Copytrading Subscriptions: We offer a 7-day free trial. After the trial, all subscription fees are non-refundable.
• AlgoEclipse reserves the right to approve or deny refund requests at its sole discretion.

5. Copytrading

By subscribing to our copytrading service:

• You acknowledge that trades will be mirrored from a master account to your personal trading account.
• You remain fully responsible for understanding and managing your trading risk.
• AlgoEclipse is not liable for any financial losses or missed trades as a result of copytrading activities.
• You must comply with the terms of your broker and any third-party tools used for copying.

6. Risk Disclaimer

• Trading foreign exchange (Forex), CFDs, or any other financial instrument carries significant risk. You may lose some or all of your investment.
• Past performance is not indicative of future results.
• Our software is a tool and does not guarantee profits or successful outcomes.
• You should consult with a licensed financial advisor before making trading decisions.
• AlgoEclipse is not regulated by the Financial Conduct Authority (FCA) or any other financial regulatory body.

7. No Financial Advice

All content provided by AlgoEclipse, including algorithmic trading software, copytrading services, website materials, guides, and support, is for informational and educational purposes only.
We do not offer:

• Personalized investment advice.
• Portfolio management.
• Any recommendation to buy, sell, or hold specific financial instruments.

8. Software Updates and Maintenance

• AlgoEclipse may release software updates or improvements. It is your responsibility to install and test any new version.
• We may discontinue support for outdated versions at any time.
• We are not responsible for any errors resulting from failing to update the software.

9. Account and Access

• When purchasing from AlgoEclipse, you may be required to provide your MetaTrader account number, name, email, and payment details.
• You are responsible for maintaining the confidentiality of your account and for all activities that occur under your license.
• AlgoEclipse may suspend or revoke access to products or services if you violate these Terms or abuse the license agreement.

10. Intellectual Property

All software, content, and materials provided by AlgoEclipse are the intellectual property of AlgoEclipse LTD. This includes but is not limited to:

• Source code and compiled EA files
• Branding, logos, and marketing content
• Educational guides and user manuals

You are not permitted to reproduce, republish, or redistribute any of these materials without explicit written permission from AlgoEclipse.

11. Third-Party Services

We may rely on third-party services such as:

• Social Trader Tools (for copytrading)
• Stripe / SendOwl (for payment processing)
• IC Markets / Myfxbook / Trustpilot (for brokerage and performance tracking)

We are not responsible for the performance, content, or policies of these third parties. Use them at your own risk and review their respective terms.

12. Limitation of Liability

To the maximum extent permitted by law:

• AlgoEclipse shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our products or services.
• AlgoEclipse is not responsible for broker-related issues, server downtimes, data feed inaccuracies, or market volatility.
• Total liability for any claim will not exceed the amount paid by the customer to AlgoEclipse in the 12 months prior to the claim.

13. Termination

We reserve the right to suspend or terminate your access to our products or services if:

• You breach any of these Terms.
• You misuse the software or license.
• You engage in fraudulent or abusive behavior.

Termination does not entitle you to any refund.

14. Privacy

Our Privacy Policy explains how we collect, use, and store your personal information. We do not use cookies or share your data with unauthorized parties. By using our services, you agree to our Privacy Policy.

15. Changes to Terms

AlgoEclipse reserves the right to update or change these Terms at any time. Continued use of our products or services after such changes constitutes your acceptance of the new Terms.

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
